1. Agreement to Terms

By accessing or using the I AM LOCAL AI website, network of destination-specific .ai domains, and related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms apply to all visitors, users, businesses, and subscribers ("you" or "User").

I Am Local AI LLC ("we," "us," or "our") operates the Service.

2. Description of Service

I AM LOCAL AI operates an AI-powered local business discovery platform consisting of:

• A network of 100+ destination-specific .ai domain websites
• Business directory listings and search functionality
• Business owner dashboards and management tools
• Subscription services including marketing tools, CRM, and AI integrations

3. User Accounts

Account Creation

To access certain features, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and update your information
• Keep your password secure and confidential
• Notify us immediately of unauthorized access
• Accept responsibility for all activity under your account

Account Termination

We reserve the right to suspend or terminate accounts that violate these Terms or for any reason at our discretion with notice.

4. Business Listings

Unclaimed Listings

We may create and display business listings using publicly available information. Businesses may claim and manage their listings by creating an account and verifying ownership.

Claimed Listings

By claiming a listing, you represent that you have authority to act on behalf of the business. You are responsible for the accuracy of all information in your listing.

Content Standards

Business listings must not contain:

• False or misleading information
• Infringing, defamatory, or illegal content
• Spam, malware, or malicious code
• Content that violates third-party rights

We reserve the right to remove or modify listings that violate these standards.

5. Subscription Services

Plans and Pricing

We offer subscription plans including Growth Platform, AI Growth Suite, and Elite DFY at prices published on our pricing page. Prices are subject to change without notice. Active subscribers will receive notice of any price changes affecting their subscription before their next billing cycle.

Add-On Services

We offer additional services and custom solutions at custom pricing upon request. Contact us for details on available add-ons and pricing.

Billing

Subscriptions are billed annually in advance. By subscribing, you authorize us to charge your payment method for recurring fees until you cancel.

Cancellation and Refunds

You may cancel your subscription at any time. Cancellations take effect at the end of the current billing period. We do not provide refunds for partial billing periods, except as required by law or at our discretion.

Service Level

We strive to provide reliable service but do not guarantee uninterrupted access. We are not liable for downtime, errors, or service interruptions.

Non-Profit Contribution

Five percent (5%) of subscription fees are donated to We Are Local AI, a separate non-profit organization that supports local communities through grants and charitable programs. This donation is included in your subscription price and is non-refundable. We Are Local AI is an independent organization and is not owned, operated, or controlled by I Am Local AI LLC.

6. AI Search and MCP Integration

AI Visibility

Claimed businesses with active subscriptions may be included in our MCP (Model Context Protocol) integration, which makes business data available to AI models and search platforms including ChatGPT, Perplexity, and others.

No Guarantees

Inclusion in AI search results is not guaranteed. We do not control third-party AI platforms and cannot guarantee specific placement or visibility.

Data Usage

By subscribing, you consent to your business data being shared with AI platforms for discovery purposes.

7. Third-Party Services

Integrated Services

Our Service integrates with third-party providers including:

• Stripe (payment processing)
• 247365.ai (CRM and marketing tools)
• identified.ai (visitor identification)
• Various AI platforms (search integration)

Your use of these services is subject to their respective terms and privacy policies.

Third-Party Organizations

We donate 5% of subscription revenue to We Are Local AI, a separate non-profit organization. Your engagement with We Are Local AI, if any, is subject to that organization's own terms and policies.

Third-Party Links

Our Service may contain links to third-party websites. We are not responsible for third-party content or practices.

8. Intellectual Property

Our Content

The Service, including its design, text, graphics, logos, and software, is owned by I Am Local AI LLC and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our written permission.

Your Content

You retain ownership of content you submit (business information, photos, reviews). By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, display, reproduce, and distribute your content in connection with the Service.

Trademarks

"I AM LOCAL AI" and associated logos are trademarks of I Am Local AI LLC. You may not use our trademarks without written permission. "We Are Local AI" is a trademark of the separate We Are Local AI non-profit organization.

9. User Conduct

You agree not to:

• Violate any laws or regulations
• Infringe on intellectual property or other rights
• Submit false, misleading, or fraudulent information
• Harass, abuse, or harm others
• Interfere with the Service's operation
• Attempt to gain unauthorized access
• Use automated tools to scrape or extract data
• Circumvent security measures
• Use the Service for competing directory services without permission

10. Reviews and User Content

Review Guidelines

Reviews must be honest, based on genuine experiences, and comply with our content standards. We reserve the right to remove reviews that are fake, defamatory, or violate these Terms.

Content Moderation

We may (but are not obligated to) monitor, edit, or remove user content. We are not responsible for user-generated content.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. WE DO NOT GUARANTEE ANY SPECIFIC RESULTS FROM USING THE SERVICE, INCLUDING BUSINESS LEADS, CUSTOMERS, OR AI SEARCH VISIBILITY.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, I AM LOCAL AI LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify, defend, and hold harmless I Am Local AI LLC and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Content you submit to the Service

14. Dispute Resolution

Governing Law

These Terms are governed by the laws of the State of Wisconsin, without regard to conflict of law principles.

Arbitration

Any dispute arising from these Terms or the Service shall be resolved by binding arbitration in accordance with the American Arbitration Association rules. Arbitration shall take place in Walworth County, Wisconsin.

Class Action Waiver

You agree to resolve disputes individually and waive any right to participate in class actions.

Exceptions

Either party may seek injunctive relief in court for intellectual property violations or unauthorized access.

15. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance.

If you do not agree to modified Terms, you must stop using the Service.

16. General Provisions

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and I Am Local AI LLC regarding the Service.

Severability

If any provision of these Terms is found unenforceable, the remaining provisions shall continue in effect.

Waiver

Our failure to enforce any provision does not constitute a waiver of that provision.

Assignment

You may not assign your rights under these Terms without our consent. We may assign our rights without restriction.
